License Terms and Conditions


Definition of Software Product: The term "Software Product" means all of the Inventory Manager Online Software products, including any updates or associated media and documentation.

License Grant: In accordance with the terms of this Agreement, Inventory Manager Online grants to you, and you the user accept from Inventory Manager Online, a personal, non-exclusive, limited, license to use the Software Product, in non-printed, machine readable form at the sites for which you obtain, for your personal business use only, which shall not include renting, leasing, time sharing, or providing any service bureau function to or on behalf of third parties to this program.

License Restrictions: User may not remove or alter or obstruct in any way any copyright or other intellectual property notice on or in the Software Product. User may not attempt to disassemble, recompile and/or reassemble the object code and/or source codes of the Software Product. User further agrees that they will use their best efforts to prevent disassembly of the object code and/or source codes of the Software Product by any person or entity, by securing and protecting the Software Product or updates. User is prohibited from distributing, transferring possession of, or otherwise making available the Software Product to any person or entity and from reproducing the Software Product at any other location. User is prohibited from making any modifications, adaptations, enhancements, changes or derivative works of the Software product. Violation of any provision in this Subsection shall be the basis for the immediate termination of this Agreement, and subject to all penalties of State and Federal copyright laws.

Title to and Rights in Software Product: The Software Product is proprietary to Inventory Manager Online, and title to it remains the property of Inventory Manager Online. All applicable common law and statutory rights in the Software Product, including, but not limited to, rights in confidential and trade secret material, source codes, trademarks, service marks, and copyrights, shall be and will remain the property of Inventory Manager Online. You shall have no rights, title, or interest in or to the Software Product or proprietary rights therein.

Your access and use of the Site is also subject to the following terms and conditions ("Terms and Conditions") and all applicable laws. By accessing and selecting the I agree box and browsing the Site, you accept, without limitation or qualification, the Terms and Conditions and acknowledge that any other agreement between you and Inventory Manager Online are superseded and of no force or effect.

User should assume that everything they see or read on the Site is copyrighted unless otherwise noted and my not be used except as provided in these Terms and Conditions or in the text on the Site without the written permission. Inventory Manager Online neither warrants nor represents that your use of materials displayed on the Site will not infringe right of third parties not owned by or affiliated with Inventory Manager Online.

Without limiting the foregoing, everything on the Site is provided to you "AS IS" WITHOUT WRRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusion may not apply to you. Check your local laws for any restrictions or limitations regarding the exclusion of implied warranties. Inventory Manager Online also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images from the Site.

The trademarks, logos, and service marks (collectively the "Trademarks") displayed on the Site, are registered and unregistered Trademarks of Inventory Manager Online and others. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Site without the written permission of Inventory Manager Online or such third party that may own the Trademarks displayed on the Site. Your misuse of the Trademarks displayed on the Site, or any other copyrighted content on the Site, except as provided in the Terms and Conditions, is strictly prohibited. You are also advised that Inventory Manager Online will aggressively enforce its intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution.

Inventory Manager Online has not reviewed all of the sites linked to the Site and is not responsible for the contents of any off-site pages or any other sites linked to the Site. Your linking to any other off-site pages or other sites is at your own risk.

Although Inventory Manager Online may, from time to time, monitor or review discussions, chats, postings, transmissions, bulletin boards, and the like on the Site, Inventory Manager Online is under no obligation to do so and assumes no responsibility or liability arising from the content of any such locations nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information contained within such locations on the Site. You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law. Inventory Manager Online will fully cooperate with any law enforcement authorities or court order requesting or directing Inventory Manager Online to disclose the identity of anyone posting any such information or materials.

Spam Policy. Inventory Manager Online does not tolerate "Spamming," or the untargeted mass mailing of unsolicited commercial email. Spam consumes valuable system resources and imposes personal and financial burdens upon unwilling recipients. Even in the best circumstances, spam affords marginal benefit to few individuals at tremendous cost to the general community. User and/or company shall not be involved in Internet abuse including but not limited to spamming-mass unsolicited emailing, distribution of mass emailing programs, cross-posting messages to large number of usenet groups, posting obscene or inflammatory messages, threatening other Internet users, mail bombing Internet users, running packet sniffers or port scanners, and spamming our support staff.

Should a violation occur, Inventory Manager Online reserves the right to terminate the account without notice and without any refunds. The company and/or individual violating spam policy will be held responsible for any damages to Inventory Manager Online system, software, servers, connectivity, reputation, business, service, network, operations, or equipment.

If you receive an unsolicited email message that references to Inventory Manager Online in the text of the email, please forward the message, including its headers, to We will investigate immediately and take appropriate action.

User agrees that their company (IT) staff, employees, partners, affiliates, agents, will not copy, modify, reproduce this software or concept under any other label. User agrees all materials and software are copyrighted and are subject to copyright laws and regulations and will also be subject to violation of copyright laws.

User understands that it is their responsibility to do a periodic back up of the inventory database listed on Inventory Manager Online site to their computer via download. Lose of inventory data either by accidental deletion or removal by user, or by not making a periodic back up file is not the responsibility of Inventory Manager Online. User agrees not to hold Inventory Manager Online responsible for loss of inventory data.

User agrees that Inventory Manager Online will not be held liable for failure, error, or delay in performance under this Agreement if said defect is due, in whole or in part, to any circumstance beyond its control including without limitation to telephone transmission line problems, Internet connectivity, loss of power, civil or labor disturbances, communications or mechanical difficulties, human error, natural catastrophes, intervention of third parties or acts of God.

User agrees and understands that under this License Terms and Conditions that a monthly inventory gateway access fee will be paid. In the event of non-payment due to insufficient funds, refusal and/or any reason for payment not being paid, that access to all inventory data will be denied until said balance is current. If balance is not made current after 90 days inventory remaining in data of delinquent site will permanently be removed without a backup copy being made or notice. It is also understood and agreed to by user that gateway fees gross unique UPC counts relating to fees assessed if applicable are subject to change with 30 days written notice or by email to any or all users. Other fees or annual fees may be added with a 30 day notice. All inventory gateway access fees are based on 8,000 unique UPC's any user exceeding that amount will be subject to an additional monthly fee.

This Agreement is governed by the substantive laws of the State of Colorado, USA, without regard to conflict of law rules. If any part of this Agreement is found invalid, void or unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement may be modified at any time.

Inventory Manager Online has the right to conduct, or have audits to verify users compliance with this Agreement. User may not assign or sublicense its rights, duties, or obligations under this Agreement to any person or entity, in whole or in part.
